Terms and Conditions of Isma Easy Services SRL

1. Purpose of the contract

These general terms and conditions apply to all renovation works (painting, plumbing, electricity, masonry, coatings, etc.) carried out by the Company for the Client, within the framework of a service contract. The works to be carried out are detailed in the quotation accepted by the Client.

These general terms and conditions apply to all renovation works (painting, plumbing, electricity, masonry, coatings, etc.) carried out by the Company for the Client, within the framework of a service contract. The works to be carried out are detailed in the quotation accepted by the Client.

2.2 Validity of the quotation

The quotation is valid for a period of 30 days from its date of issue. After this period, the Company reserves the right to adjust the price based on material cost variations or market conditions.

2.3 Amendment to the quotation

Any modification to the works or the quotation must be formalized by an addendum signed by both parties.

3. Price and payment terms
3.1 Price

The price of the works is as indicated in the accepted quotation. This price includes labor, materials, and any other expenses necessary for the execution of the works, unless stated otherwise in the quotation.

3.2 Deposit

A deposit of 30% of the total amount of the works is due upon signing the quotation.

3.3 Payment of the balance

The remaining balance will be due upon completion of the works, or according to the payment terms agreed upon in the quotation. Payment must be made via bank transfer.

3.4 Late payment

In case of late payment, late payment interests will be applied in accordance with Belgian legal provisions (law of August 2, 2002 on combating late payment in commercial transactions). Collection charges will also be invoiced if the delay exceeds [30] days.

4. Work Execution Deadlines
4.1 Agreed Deadlines

The works will be carried out within the deadlines specified in the quotation, subject to weather conditions, delays in material supply, or other unforeseen circumstances beyond the control of the Company. Any changes to the deadlines will be communicated to the client as soon as possible.

5. Company’s Obligations

The Company undertakes to:

  • Carry out the works in accordance with technical standards, safety regulations, and industry best practices.
  • Provide the materials necessary for the completion of the works, unless otherwise agreed upon in the quotation.
  • Adhere to the agreed deadlines, except in cases of force majeure or unforeseen circumstances.

6. Client’s Obligations

The client agrees to:

  • Pay the amount due within the agreed deadlines.
  • Provide secure and adequate access to the construction site.
  • Ensure that all necessary administrative authorizations (building permits, etc.) have been obtained before the start of the works.
  • Prepare the construction site so that the works can commence under the best conditions.

7. Modification of Works

Any modification to the works requested by the Client during the construction process will be the subject of a written addendum, specifying the new services, the new prices, and the revised deadlines.

8. Acceptance of Works

At the end of the works, an acceptance will be carried out by the client.

The client may issue written reservations in case of non-compliance with the works. Non-compliant works must be corrected by the Company, at no additional cost to the Client, within a reasonable timeframe.

9. Insurance

The Company declares to be covered by professional liability insurance for damages that may occur during the execution of the works.

10. Force Majeure

The Company shall not be held liable for non-performance or delays in the execution of the works in case of force majeure (fire, flood, strike, extreme weather conditions, etc.). In such cases, the Company will inform the Client as soon as possible and make efforts to resume the works at the earliest opportunity.

11. Termination of Contract
11.1 Termination by the Client

The Client may terminate the contract at any time before the commencement of the works. If the works have already commenced, indemnities will be due to the Company to cover the costs incurred.

11.2 Termination by the Company

The Company may also terminate the contract in case of non-payment, significant delay in the performance of the client’s obligations, or any other substantial breach.

12. Disputes and Jurisdiction

In case of a dispute, the parties agree to try to resolve the conflict amicably. In case of failure, the dispute will be brought before the competent court at the registered office of the company, in accordance with Belgian laws.

13. Miscellaneous Provisions

  • Confidentiality: The information exchanged between the parties is confidential and cannot be disclosed without the prior agreement of the other party.
  • Modification of Terms: These terms may be modified at any time by the Company, subject to written notification to the client.
  • Severability: If one or more provisions of these terms are deemed invalid, the remaining provisions shall remain valid.
